Terms of Service

1. Agreement

By creating an account or using the Form4API service (“Service”), you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

2. Service description

Form4API provides programmatic access to publicly available SEC Form 4 insider trading filings sourced from the EDGAR system. Data is provided “as is” for informational and research purposes only. It is not financial advice and should not be used as the sole basis for investment decisions.

All data is sourced from publicly available EDGAR filings. Form4API is not affiliated with, endorsed by, or associated with the U.S. Securities and Exchange Commission (SEC) or EDGAR.

We make no warranties regarding the accuracy, completeness, or timeliness of the data. See Section 7 for the full data accuracy disclaimer.

3. Acceptable use

You may not use the Service to:

  • Resell or redistribute raw API responses as a competing data product
  • Circumvent rate limits by using multiple API keys or shared keys
  • Attempt to access, scrape, or overload our infrastructure beyond your plan quota
  • Use the data to engage in illegal market manipulation or insider trading
  • Reverse-engineer the Service or attempt to extract our proprietary parsing logic

Using data in your own products, models, dashboards, newsletters, or trading strategies is explicitly permitted and encouraged.

4. API keys

Your API key is a secret credential. You are responsible for keeping it secure and for all usage under your key. If you suspect your key has been compromised, contact us immediately.

5. Rate limits and quotas

Each plan has a daily request cap and a per-minute burst limit. Requests that exceed these limits will receive a 429 Too Many Requests response. We reserve the right to suspend accounts that systematically abuse rate limits.

6. Billing

  • Paid plans are billed monthly in advance via Stripe.
  • You can cancel at any time. Access continues until the end of the current billing period.
  • We do not offer refunds for partial months.
  • We reserve the right to change pricing with 30 days notice to active subscribers.

7. Data accuracy

All data is sourced from SEC EDGAR public filings. We apply amendment-aware parsing to resolve Form 4/A corrections. Despite our efforts, data may contain errors, delays, or omissions. We make no warranty as to the accuracy, completeness, or timeliness of the data.

8. Availability

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance will be communicated in advance where possible. We are not liable for losses arising from downtime or data delays.

9. Termination

We may suspend or terminate accounts that violate these Terms, engage in abuse, or fail to pay. You may close your account at any time. Upon termination, access to the API is revoked immediately.

10. Limitation of liability

To the maximum extent permitted by law, Form4API is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including investment losses or missed trading opportunities. Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim.

11. Governing law

These Terms are governed by the laws of Sweden. Any disputes shall be resolved in the courts of Stockholm.

12. Changes

We may update these Terms. Material changes will be communicated by email with 14 days notice. Continued use of the Service after the effective date constitutes acceptance.
